The rules of the marketplace.

These Terms and Conditions explain the legally binding obligations that govern how DEADSTOCKED operates for customers, verified storefront sellers, and anyone who accesses our Platform.

Overview & Acceptance

Defines the contract between DEADSTOCKED, Inc. and everyone who visits or transacts on the platform.

These Terms and Conditions (the "Terms") form a binding agreement between DEADSTOCKED, Inc., a Delaware corporation with its principal place of business in Chandler, Arizona ("DEADSTOCKED", "we", "us", or "our"), and every individual or business that accesses, browses, creates an account on, or transacts through the DEADSTOCKED marketplace, websites, mobile experiences, APIs, or related services (collectively, the "Platform").

By creating an account, listing inventory, placing bids, making purchases, or otherwise using any portion of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue all use of the Platform. Supplemental policies (including our forthcoming Privacy Policy) are incorporated by reference.

We may update these Terms from time to time. We will provide notice of material changes via email and/or in-Platform banners. Your continued use after changes are posted constitutes acceptance of the revised Terms.

Eligibility & Geographic Scope

Sets age thresholds and geographic limitations for access and purchasing.

The Platform is intended for sneaker enthusiasts and verified storefront sellers. Individuals under the age of 16 may browse only with a parent or guardian present. Individuals aged 16 or 17 may create customer accounts and use general Platform features, but cannot complete purchases. Only individuals 18 years of age or older may submit bids, complete checkout, or enter binding purchase transactions.

The Platform may be viewed worldwide; however, listings, bids, purchases, and fulfillment currently operate only within the fifty (50) United States and the District of Columbia, and products may only be shipped to delivery addresses located within that territory.

By using the Platform you represent that you meet the applicable age requirements, that any information you submit is truthful and complete, and that your use complies with all applicable laws. We reserve the right to refuse access or service where legally prohibited.

Account Registration

Explains customer and seller onboarding requirements.

Creating a customer account requires your first and last name, a valid email address, and a mobile phone number capable of receiving verification messages. You are responsible for maintaining the accuracy of this information and for safeguarding your login credentials. You agree to notify us immediately of any unauthorized use of your account.

Seller accounts are available only to U.S. businesses that operate a physical retail location. To qualify, a seller must provide a valid Employer Identification Number (EIN), documentation that verifies the storefront, and any additional information we reasonably request. DEADSTOCKED verifies EIN information with applicable state or federal resources. We may approve or reject any application at our sole discretion.

Accounts are personal to the registrant. You may not create multiple accounts, impersonate another person or business, or allow others to access your account. We may suspend or terminate any account that violates these Terms.

Seller Responsibilities & Listings

Outlines requirements for stores that list sneakers on DEADSTOCKED.

Only verified storefront sellers may list products. Listings are limited to new, unworn, deadstock sneakers. DEADSTOCKED curates product catalog data; sellers provide size availability, pricing, condition confirmations, and imagery as requested. Uploads are monitored by our machine-learning tools and may be reviewed manually.

By listing inventory, sellers certify that: (a) every item is authentic and in deadstock condition; (b) they possess the right to sell the item; (c) all images and descriptions are accurate; and (d) they comply with all applicable laws. Sellers must update listings promptly if availability or pricing changes. DEADSTOCKED may remove or adjust listings that violate policy or appear inaccurate.

  • Sellers must ship accepted orders within two (2) calendar days of sale confirmation.
  • Failure to ship within two days may result in fees; failure to ship within three (3) days results in automatic order cancellation and potential account action.
  • Sellers agree that DEADSTOCKED may terminate selling privileges and pursue legal remedies if counterfeit, damaged or unauthorized goods are supplied.
  • Failure to obide by the shipment guidelines and parameters.

Seller Account Responsiblities

Outlines requirements for stores account maintenance

Sellers are to follow the following rules(not limited to), below. Failure to do so may result in the pause or termination of their account.

  • Up to date account information including but not limited to: Address, Company Name, Business Identification, First Name, Last Name, Phone Number, Email Address.
  • Failure to keep a sufficient amount of authentication tags
  • Failure to maintain activity. Sellers need to be actively listing inventory and fulfilling orders.
  • Failure to obide by any changes enforced by DEADSTOCKED.

Bids, Purchases & Cancellations

Defines how customers interact with listings and when obligations become binding.

Customers may either submit a Buy Now order at the listed price or place a bid through the Platform. Bids remain open until the customer removes them through the My Account > My Bids dashboard or until a seller accepts the bid. Customers may cancel an open bid at any time before it is accepted by selecting "Remove Bid."

Buy Now orders may be canceled by the customer within three (3) hours of submission or until the seller accepts the order, whichever occurs first. Customers can navigate to My Account > My Bids, locate the order, and choose "Cancel Order" to exercise this limited cancellation right. After the 3-hour timeframe expires or a seller accepts the order, the transaction becomes final and the order proceeds to fulfillment.

The 3-hour cancellation window does not apply to placed bids. Once a seller accepts a bid, the transaction is binding and cannot be canceled by the customer, even if the order has not yet shipped. All sales are final unless DEADSTOCKED determines, after investigation, that the item was counterfeit, not as described, or materially damaged. In such instances we will facilitate a return or refund as described below.

Payments, Fees & Taxes

Explains timing of charges, applicable fees, and allocation of taxes.

DEADSTOCKED uses third-party payment processors, currently including Stripe and PayPal. We do not store payment card or banking credentials on our servers. By submitting payment information you authorize the applicable processor to store and process your data in accordance with its terms and privacy policy.

When you place an order request, your chosen payment method may be authorized but is not charged until the seller marks the order as shipped. At that time, the full purchase price, shipping charges, applicable processing fees, and sales tax (based on your billing address) are captured.

All fees are non-refundable except where DEADSTOCKED approves a refund because an item was determined to be counterfeit or damaged during our review. Sellers may be responsible for any chargebacks attributable to their conduct, and agree that we may deduct amounts owed from future payouts or require reimbursement.

Sellers payout timeframes may be variable based on third-party payment processors or potential card conflicts determined by the third-party payment processor.

Sellers can expect a payout within five (5) business days of order completion. Payout timeframes may extend between 6-14 business days.

Shipping & Fulfillment

Clarifies responsibilities once an order is placed.

DEADSTOCKED provides prepaid shipping labels through third-party logistics partners. Sellers must use the supplied label unless otherwise authorized in writing. Each seller is responsible for packaging inventory securely and adhering to carrier rules. Sellers are solely responsible for inspection, authentication, and hand-off of merchandise to the carrier.

Risk of loss transfers to the customer once the carrier receives the package. DEADSTOCKED does not provide shipping insurance. If a shipment is lost or damaged in transit, we will support reasonable efforts to locate the package, but liability ultimately rests with the parties to the shipment and/or the carrier consistent with applicable law and carrier policies.

Authenticity, Condition & Investigations

Addresses counterfeit prevention, returns, and remedies.

All products on the Platform must be deadstock (new, unworn) and authentic. Verified storefront sellers are expected to authenticate inventory prior to shipment. DEADSTOCKED may audit or inspect transactions at any time.

If a customer believes an item is counterfeit, damaged, or not as described, they must notify DEADSTOCKED promptly with supporting evidence. We may require photos, unboxing documentation, or return of the item for inspection. If we verify the claim, we will issue a refund of the full purchase price, including shipping, taxes, and fees. Sellers are responsible for any associated costs and may have their account suspended or terminated. Supplying counterfeit goods may result in legal action.

If an investigation has been opened. The customer will recieve an email associated with their account. A link provided in the email will navigate the customer to a payment portal. To continue the investigation and receive a shipping label, the customer will be prompted to pay a $14 verification/shipping fee. The customer is not charged at the time of payment submission. The amount of $14 is held through our third-party payment processor. Once the DEADSTOCKED team has received the product at their facility, an authenticator will review the claims made by the customer. If the claims are validated to be true by our authenticator, the customer will receive a full refund. If the claims made by the customer are deemed invalid by our authenticator. Only then will the $14 be charged to the customers card for the fees associated to shipping and the service of claim verification. If the claims are determined invalid by our authenticator, then the product will be shipped back to the customers address, associated with their account. If the claims made by the customer are valid, the order will be shipped back to the seller.

Prohibited Conduct

Lists activities that jeopardize accounts or platform integrity.

You agree not to misuse the Platform. Prohibited activities include, but are not limited to: creating multiple accounts; impersonating other users; using bots, scrapers, or automated tools to collect data or manipulate listings; posting or selling illegal, stolen, or infringing goods; interfering with platform operations; attempting to reverse engineer, probe, or breach our systems; harassing other users; or engaging in any fraudulent, abusive, or deceptive conduct.

We may remove content, cancel orders, assess fees, suspend privileges, or terminate accounts for violations. Serious misconduct may be referred to law enforcement.

User Content & Licensing

Governs ownership of listings, photos, and other materials supplied by users.

You retain ownership of content you submit (including photos, descriptions, store marks, and feedback). By uploading or posting any content, you grant DEADSTOCKED a worldwide, royalty-free, sublicensable, transferable license to host, store, cache, reproduce, modify for formatting, distribute, publicly display, and otherwise use the content in connection with operating, marketing, and improving the Platform.

You represent that you have all necessary rights to grant this license and that your content does not infringe any third-party rights or violate the law. DEADSTOCKED may remove or disable access to any content that we believe violates these Terms or is otherwise objectionable. Users may not repurpose the Platform's proprietary content for their own commercial gain without prior written consent.

Platform Management & Availability

Explains our ability to maintain, modify, or suspend services.

We continually evolve the Platform. We may modify, replace, or discontinue features, listings, or services at any time. We may also suspend or restrict access to accounts, specific features, or the entire Platform when necessary for maintenance, security, legal compliance, or to prevent harm.

We strive for uptime but do not guarantee uninterrupted service. The Platform may be unavailable due to scheduled maintenance, emergency repairs, outages beyond our control, or force majeure events. We are not liable for losses resulting from service interruptions, though we will use commercially reasonable efforts to restore access promptly.

Third-Party Services & Tools

Notifies users about integrations and their obligations.

The Platform integrates with third-party payment processors, analytics providers, marketing tools, shipping carriers, fraud detection services, and other vendors. By using relevant features you agree to any terms and policies those providers require. If you decline a third-party provider's terms, certain features may become unavailable.

To the extent provided by law, we are not responsible for the acts or omissions of third parties. However, we endeavor to partner only with reputable providers and to safeguard user data consistent with our obligations.

Communications & Notifications

Covers transactional emails, marketing opt-ins, and notice methods.

By creating an account you consent to receive transactional communications about your activity, including bid confirmations, order updates, account alerts, security notifications, and policy changes. These communications are mandatory for Platform participation.

You may manage marketing and promotional email preferences in your account settings at any time. Opting out of marketing does not affect transactional messages. We may deliver legal notices or policy updates via email, in-dashboard banners, or other reasonable means. Notices are deemed delivered when sent to the contact information on file.

Security Expectations

Summarizes protective measures and user obligations.

DEADSTOCKED employs industry-standard security practices, including TLS encryption, network segmentation, Cloudflare protections, monitoring, and access controls tailored to role-based authorization. While we work to protect your information, no system is completely secure. You agree to maintain strong passwords, enable available security features, and promptly notify us of any suspected compromise.

We reserve the right to suspend account access when we detect suspicious activity. Additional details about how we collect, use, and safeguard data will be provided in our forthcoming Privacy Policy.

Intellectual Property

Protects DEADSTOCKED technology and branding.

The Platform, including its underlying technology, software, visual interfaces, graphics, logos, trademarks, service marks, and trade dress, is owned or licensed by DEADSTOCKED and is protected by copyright, trademark, patent, and other laws. Except for the limited rights expressly granted in these Terms, no license is granted to you. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Platform without our prior written consent.

Indemnification

Allocates responsibility when user actions cause harm.

You agree to defend, indemnify, and hold harmless DEADSTOCKED, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Platform; (b) your listings, content, or products; (c) your breach of these Terms; or (d) your violation of any law or third-party right. We may assume exclusive defense and control of any matter otherwise subject to indemnification, in which case you will cooperate fully with us.

Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEADSTOCKED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

To the fullest extent permitted by law, DEADSTOCKED shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, revenue, or data, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of one hundred dollars (US $100) or the amount you paid to DEADSTOCKED in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases our liability shall be the minimum permitted.

Termination & Account Closure

Describes how accounts may end and what happens afterward.

We may suspend or terminate your account, revoke selling privileges, cancel orders, or delete content at any time if we believe you have violated these Terms, engaged in fraudulent or harmful conduct, failed to ship products, supplied counterfeit goods, or otherwise created risk or exposure for DEADSTOCKED or the community. We may also terminate inactive accounts. You may close your account at any time by contacting support.

Upon termination we will cancel open orders, halt payouts, and remove access to account data. We may retain records as required by law or for legitimate business purposes, including fraud prevention. Termination does not relieve you of obligations incurred prior to termination, including outstanding fees or indemnity commitments.

Dispute Resolution, Governing Law & Class Waiver

Sets the legal framework for resolving disputes with DEADSTOCKED.

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles, and by applicable federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (collectively, "Disputes") shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under the Commercial Arbitration Rules then in effect. Arbitration will take place in Phoenix, Arizona, or by video conference if mutually agreed. Judgment on the award may be entered in any court of competent jurisdiction.

Either party may pursue relief in small claims court for qualifying matters. You and DEADSTOCKED waive the right to a jury trial and agree that Disputes will be resolved only on an individual basis; class, collective, consolidated, or representative proceedings are not permitted. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to the Platform.

Any claim or cause of action must be filed within one (1) year after the claim arises, or else it is permanently barred, unless applicable law prohibits shortening the statute of limitations.

DEADSTOCKED is committed to providing an accessible experience and strives to align with industry guidance such as WCAG standards. We comply with applicable U.S. consumer protection laws, including those of Arizona and California. The Platform is not directed to residents of the European Union or United Kingdom for purchasing purposes; EU/UK users may browse the site but cannot transact.

If you are a California resident, you may have additional rights under California law, which we will address in our Privacy Policy. We respond to valid Digital Millennium Copyright Act (DMCA) notices sent to support@deadstocked.com.

Changes to These Terms

Explains how updates take effect.

We may revise these Terms from time to time to reflect changes in our services, legal requirements, or business priorities. We will notify users of material changes via email and/or conspicuous Platform notices. Revised Terms take effect on the date indicated in the notice. If you disagree with the changes, you must stop using the Platform before the effective date.
